Terms of Service

1. Agreement

By registering for or using ZokoRank ("the Platform", "the Service"), you ("you", "Member", "User") agree to be bound by these Terms of Service ("Terms"). Please read them carefully before using the Platform.

If you are registering on behalf of a business, you represent that you have the authority to bind that business to these Terms. References to "you" include both you personally and the business you represent.

If you do not agree to these Terms, do not use ZokoRank.

ZokoRank is an AI-powered local marketing platform for Australian small businesses. Our services include:

• AI-assisted local SEO management including suburb pages and Google Business Profile optimisation
• Review monitoring, management, and AI-drafted response suggestions
• Social media content creation, scheduling, and management
• Competitor intelligence and monitoring
• AI business assistant services powered by Kate
• Lead capture and CRM functionality
• Member website hosting on ZokoRank infrastructure
• Email marketing tools
• Analytics and reporting

We may add, modify, or remove features from time to time. We will notify you of material changes to features included in your plan with reasonable notice.

4. Accounts

To use ZokoRank, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately at [email protected] if you suspect unauthorised access
• Ensuring your account information remains accurate and up to date

You may not share your account with others or create multiple accounts for the same business without our written permission.

All prices are in Australian dollars and include GST where applicable. Prices may change from time to time with 30 days notice to active members.

6. Billing

Your trial starts on sign-up. Your card is stored but not charged until day 31. If you cancel before day 31, nothing is charged. From day 31, your subscription renews monthly on the same date.

Payments are processed securely by Stripe. We do not store your credit card details. If a payment fails, we will attempt to process it again over the following 7 days. If payment is not received within 14 days, your account may be suspended.

GST is included in all advertised prices for Australian customers. A tax invoice will be issued with each payment.

7. Cancellation & refunds

You may cancel your ZokoRank subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period.

We do not offer refunds for partial months or unused subscription periods, except where required by Australian Consumer Law.

What happens when you cancel

• Your account remains accessible until the end of your current billing period
• Suburb pages and blog posts hosted on zokorank.com.au are removed 30 days after cancellation
• Your account data is retained for 30 days, after which it is deleted (except where retention is required by law)
• Connected Google and Facebook accounts are automatically disconnected
• Rankings and content accumulated during your membership cannot be transferred — this is an intentional feature of the platform's hosting model

Australian Consumer Law

Nothing in these Terms limits your rights under the Australian Consumer Law. Contact us at [email protected] to discuss any service quality concerns.

8. Your content

You retain ownership of all content you upload to ZokoRank, including photos, business information, and materials you provide.

By uploading content, you grant us a non-exclusive, worldwide, royalty-free licence to use, store, display, and process your content for the purpose of providing our services to you. This licence ends when you delete the content or close your account.

You are responsible for ensuring your content is accurate, does not infringe third-party rights, and complies with Australian law.

9. AI & Kate

Kate is ZokoRank's AI assistant, powered by Anthropic's Claude. Kate generates marketing content, reviews data, and provides recommendations.

What Kate does not do

• Kate does not automatically publish any content. All content requires your explicit approval before it goes live.
• Kate does not provide legal, financial, tax, or medical advice.
• Kate does not guarantee specific rankings, review outcomes, or business results.
• Kate will not proactively recommend paid advertising campaigns.

AI-generated content may occasionally be inaccurate. You are responsible for reviewing and approving all AI-generated content before publication. ZokoRank is not liable for any loss arising from approved and published AI-generated content.

10. Connected accounts

ZokoRank integrates with Google (Business Profile, Search Console), Facebook, Instagram, and other platforms. By connecting these accounts you authorise us to access and manage them on your behalf as specified during the connection flow.

You can revoke access at any time through your ZokoRank settings or directly through the relevant platform.

11. Acceptable use

You agree not to use ZokoRank to:

• Generate fake reviews or engage in review fraud
• Publish false, misleading, or deceptive content
• Violate any applicable Australian or international law
• Send unsolicited commercial messages (spam)
• Attempt to gain unauthorised access to the platform or other members' accounts
• Reverse engineer or attempt to extract the platform's source code
• Resell or white-label ZokoRank services to third parties under any circumstances

Violation of these terms may result in immediate account suspension or termination without refund.

12. Intellectual property

ZokoRank, Kate, and all associated platform technology, design, code, AI models, and content created by us are owned by Zoko Group Pty Ltd and are protected by Australian and international intellectual property laws.

The ZokoRank name, logo, and brand are trademarks of Zoko Group Pty Ltd. You may not use these marks without our prior written consent.

13. Limitation of liability

To the maximum extent permitted by Australian law, ZokoRank's total liability to you for any claims will not exceed the amount you paid us in the 3 months preceding the event giving rise to the claim.

We are not liable for any loss of revenue or profits, indirect or consequential damages, changes to Google or third-party platform algorithms, outcomes of paid campaigns, or content you have approved and published.

Nothing in these Terms excludes rights or remedies you have under Australian Consumer Law that cannot be excluded by agreement.

14. Warranties & service availability

We aim to provide ZokoRank with high availability but do not guarantee uninterrupted or error-free service. The platform is provided "as is". We do not warrant that Kate's recommendations will result in improved rankings or increased revenue.

15. Disputes & governing law

These Terms are governed by the laws of Queensland, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Queensland.

Before initiating any legal action, please contact us at [email protected] to attempt to resolve the dispute informally.

16. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email and dashboard notice at least 14 days before changes take effect. Continued use after the effective date constitutes acceptance.
